ARTICLE IV

BOARD OF DIRECTORS


Section 4.1  CompositionThe Board of Directors shall consist of the Executive Council (as defined in Section 5.1) of the GRSBA, and a maximum of two Class Representatives, except as provided in Section 4.2, from each Class (each, a Director). Class Representatives are voted on by their respective classes as set forth in Article VIII below. Each Director shall have a term of office as set forth in Section 8.5 below.

 

Section 4.2  Class at Large.  The Class at Large shall have a maximum of two Class Representatives on the Board of Directors.

(a)        Any student may run to represent the class at large if there are positions left open.

 

Section 4.3  PowersAll powers of the GRSBA are reserved to the Board of Directors unless expressly provided otherwise in these Bylaws.

 

Section 4.4  Policies and Procedures:  The Board of Directors shall have the authority to establish policies and procedures consistent with these Bylaws for the purpose of implementing these Bylaws.  Any policy or procedure to be implemented are made pursuant to Section 3.10
